Terms of Service

These Terms of Service govern your use of the Scala protein-engineering platform at scalabiohq.com (the "Service") operated by Scala Biodesign Ltd ("the Company," "we," "us," or "our"). Please read these Terms before using the Service. By creating an account or using the Service, you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

1. Agreement

These Terms form the entire agreement between you and Scala Biodesign Ltd (Yigal Alon 94, Floor 12, Tel Aviv 6789155, Israel) regarding your use of the Service. They apply to all users including researchers on free trials, Research Lab subscribers, and Enterprise customers. For Enterprise arrangements, a separate master services agreement may supplement these Terms; the more specific document prevails for the subject matter it covers.

2. Use of the Service

Scala is a computational protein-design tool for scientific and research purposes. You agree to use it only for lawful protein-engineering and research workflows.

• You must be of legal age in your jurisdiction, or have parental or institutional authorisation to use the Service.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to any part of our systems.
• You may not reverse-engineer, decompile, or attempt to extract the model weights or training data underlying the Scala prediction engine, except as permitted by mandatory law.
• Automated bulk queries that exceed your subscription's rate limits or that are designed to probe model internals are prohibited.
• You are responsible for the accuracy of any protein sequence or structural data you upload, and for complying with any intellectual-property restrictions that apply to that data at your institution.

3. Intellectual Property

The Service, including the prediction models, platform software, and all associated documentation, is owned by Scala Biodesign Ltd or its licensors and is protected by international intellectual-property law. The Company grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose within the scope of your subscription tier. Prediction results generated from your sequences are yours; the Company claims no ownership over the scientific conclusions you draw from those outputs.

4. User Content and Sequence Data

You are responsible for any protein sequences, structural files, variant annotations, or other scientific data you submit ("User Content"). You represent that you have the right to submit that data and that doing so does not violate any applicable law or third-party agreement.

You grant the Company a limited licence to use, store, and process your User Content solely to provide the requested prediction results and to operate the Service. The Company does not use your sequence data to train or fine-tune prediction models without your explicit written consent. Enterprise customers with custom model fine-tuning arrangements consent separately in their service agreement.

We do not sell or transfer your User Content to third parties except as set out in our Privacy Policy (e.g., to cloud infrastructure providers operating under written data-processing agreements).

5. Subscription, Payment, and Access

The Service is offered on a subscription basis (Explorer, Research Lab, or Enterprise tiers, as described at scalabiohq.com/pricing.html). Subscription fees are charged according to the billing cycle you select. Fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us within 30 days.

API access is available to Research Lab and Enterprise subscribers. Your API key is personal; you must not share it or use it in ways that exceed your subscription tier limits.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis. Prediction outputs are computational estimates intended to support, not replace, experimental validation. The Company does not warrant that any specific sequence will behave as predicted in a laboratory setting. We disclaim all warranties, including merchantability and fitness for a particular purpose, to the maximum extent permitted by applicable law. Mandatory consumer warranties applicable in your country of residence are not affected.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the amount you paid for the Service in the three months preceding the claim, or USD 100 if you have paid nothing. This limit does not apply to liability that cannot be excluded under mandatory law.

8. Indemnification

You agree to indemnify and hold harmless Scala Biodesign Ltd, its directors, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right including intellectual-property rights in data you submit.

9. Termination

The Company may suspend or terminate your access if you breach these Terms. Termination does not affect rights that have accrued before that date. Sections 3, 4, 6, 7, 8, and 10 survive termination. You may cancel your subscription at any time; cancellation takes effect at the end of the then-current billing period.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles.

Disputes arising from or related to these Terms or the Service are subject to the non-exclusive jurisdiction of the competent courts in Tel Aviv, Israel, without prejudice to any mandatory consumer-protection rights applicable in your country of residence.

11. Changes and Contact

The Company may update these Terms. Material changes will be posted with a revised "Last updated" date and, where practicable, communicated by email to active subscribers. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.
